This Referral Agreement is signed and entered into as of [date] by and between: Türkiye Homes , a company duly incorporated and validly existing under the laws of the Great Britain, with its registered office at SUITE G17, WESTLINK HOUSE, GREAT WEST ROAD, LONDON TW8 9DN . UK
(hereinafter referred to as “ Türkiye Homes”),
AND
[Agent’s Full Name] , holding ID/Passport number [ID/Passport Number], residing at [Agent’s Address], engaged in real estate occupations as a middleman (hereinafter referred to as “Agent”).
Türkiye Homes and Agent are referred to individually as “Party” and collectively as “Parties”. The customers introduced by Agent to Türkiye Homes for the purpose of purchasing real estate, entering into various investments, or obtaining Turkish citizenship shall be referred to as “Client(s)”.
The Parties hereby agree to undertake a Cooperation Agreement (“Agreement”) under the following terms and conditions.
1. THE SUBJECT OF THE AGREEMENT
The Parties wish to establish a strategic alliance to collaborate in marketing and facilitating real estate investments and consultancy services for Client(s) seeking to apply for and obtain Turkish citizenship.
Under this Agreement, the Agent shall use their best efforts to present Türkiye Homes to Client(s) and promote the properties and projects within Türkiye Homes’ portfolio. The Agent will engage in promotional activities, gather and disseminate information on prospective deals, and introduce interested Client(s) to Türkiye Homes.
2. OBLIGATIONS OF THE PARTIES
2.1 General Obligations
2.1.1. The procedure will begin with the Agent informing Türkiye Homes of a potential Client. The Agent will introduce potential Clients interested in the services provided by Türkiye Homes. If the Client approves and accepts to proceed, the Agent will obtain the Client’s written approval and forward it to Türkiye Homes.
2.1.2. For visits of potential Client(s) to Turkey, Türkiye Homes undertakes to accompany Client(s) to relevant properties, projects, and investments. Türkiye Homes shall use reasonable endeavors to accommodate the Agent’s promotional efforts in seminars or private meetings with potential Client(s).
2.1.3. The Agent shall inform Client(s) that they bear their own hotel, accommodation, and transportation expenses.
2.1.4. Upon commencement of the process, the Agent shall provide all requested documents in full and complete form to Türkiye Homes promptly. The Agent acknowledges that timely provision of documents is crucial for the process and accepts that any delays or incomplete documentation may impede the process, for which Türkiye Homes is not responsible.
2.2 Obligations of Agent
2.2.1. The Agent agrees to:
2.2.1.1. Promote Türkiye Homes’ properties and projects to all suitable potential purchasers.
2.2.1.2. Immediately communicate any contacts or proposals from Client(s) interested in purchasing properties or projects to Türkiye Homes.
2.2.1.3. Provide services independently, autonomously, and responsibly according to their knowledge.
2.2.2. The Agent acknowledges that they are not an employee, distributor, legal agent, or branch of Türkiye Homes. This Agreement is solely for cooperation and agency purposes, with the Agent acting as an independent consultant.
2.2.3. The Agent shall clearly explain all necessary information and procedures to Client(s) and ensure compliance with applicable data protection laws. The Agent will obtain each Client’s consent for the use, processing, holding, and transfer of their personal data to Türkiye Homes and its affiliates.
2.2.4. All instructions and information provided by the Agent to Türkiye Homes on behalf of Client(s) shall be complete, accurate, lawful, and not harm third-party interests.
2.2.5. The Agent guarantees not to interfere with, circumvent, or attempt to bypass Türkiye Homes’ interests or relationships with Clients, either directly or indirectly.
2.3 Obligations of Türkiye Homes Türkiye Homes agrees to: - Provide the Agent with all relevant information and documents related to the properties, projects, and investments. - Inform the Agent about the status of negotiations regarding Client acquisitions. - Pay the Agent’s fee within the agreed term and conditions. - Conduct negotiations with sellers for Client purchases. - Manage and monitor Client visits to properties, projects, or investments. - Cover airport transfers for Clients within Istanbul. - Provide timely, proper, and professional services to Client(s) introduced by the Agent. - Keep the Agent updated on the status of Client(s).
3. COMMISSION RATE AND PAYMENT METHOD
3.1. If the Agent’s Client(s) purchases a property introduced by Türkiye Homes, the Agent shall charge -% of the sale price.
3.2. If the Client(s) purchases a property developed or an exclusive project and its subsidiaries, the Agent shall be entitled to -% of the sale price.
3.3. Türkiye Homes shall transfer the commission to the Agent’s bank account within thirty (30) days after receiving full commission payment and the Agent’s invoice.
3.4. Both Parties agree that:
3.4.1. The commission remains unchanged regardless of the invoice’s origin, provided it is legally valid.
3.4.2. If applicable taxes affect the commission, the commission will be adjusted accordingly.
3.4.3. Commission payments shall be made in Turkish Lira, converted from USD based on the Central Bank of Türkiye’s indicative rate on the payment date.
3.5. If a sale is cancelled and the commission is reclaimed by the Project, the Agent must refund their commission within seven (7) days of Türkiye Homes’ written request.
4. ADVERTISING, PROMOTION, AND MARKETING
4.1. The Agent shall use Türkiye Homes’ provided information and logo solely for advertising and marketing in [Agent’s Country], at their own expense.
4.2. The Agent shall not use Türkiye Homes’ logo or company information with their own.
4.3. The Agent may arrange sub-agents and earn a reasonable marketing fee.
4.4. Türkiye Homes agrees to provide marketing materials to the Agent.
4.5. The Agent agrees to use only the materials provided by Türkiye Homes and seek written consent for any additional materials.
5. CONFIDENTIALITY
5.1. Both Parties shall treat all information received or obtained as strictly confidential.
5.2. Confidential information shall be protected during and after the term of this Agreement.
5.3. Confidential information may only be disclosed if required by law, if it is public knowledge, or with prior written consent.
6. REPRESENTATIONS AND WARRANTIES
Each Party represents and warrants that: - It has the authority and legal right to execute and perform this Agreement. - It has taken all necessary actions to authorize this Agreement. - This Agreement constitutes valid and binding obligations. - It shall act in good faith to fulfill the Agreement’s intent.
7. TERM AND TERMINATION
7.1. This Agreement is valid for four (4) months from the signing date and automatically renews unless terminated by either Party with thirty (30) days’ written notice.
7.2. Upon termination, the Agreement remains applicable for Clients already introduced to Türkiye Homes.
7.3. Either Party may terminate the Agreement if the other Party fails to rectify a material breach within ten (10) days of written notice.
7.4. Termination does not release the Parties from pre-termination obligations.
7.5. After termination, the Agent is entitled to commissions for completed transactions, except in cases of rightful termination by Türkiye Homes.
7.6. The Agreement may be terminated at any time by mutual written consent.
8. REMEDIES ON DEFAULT
Failure to comply with the Agreement’s material obligations entitles the non-defaulting Party to terminate the Agreement if the default is not remedied within seven (7) days of notice.
9. FORCE MAJEURE
Performance of this Agreement is suspended during Force Majeure events. The excused Party shall make reasonable efforts to resume performance as soon as possible.
10. COMMUNICATION
All communications related to this Agreement shall be made in writing and sent to the addresses provided. Changes to contact details must be notified in writing.
11. AMENDMENTS
Amendments to this Agreement must be made in writing and signed by both Parties.
12. EFFECTIVE DATE
This Agreement is effective upon signature by both Parties.
13. ENTIRE AGREEMENT AND SEVERABILITY
13.1. This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
13.2. If any term is invalid or unenforceable, the remainder of the Agreement remains valid.
14. LAW AND JURISDICTION
This Agreement is governed by the laws of the Republic of Türkiye. Disputes shall be resolved through amicable settlement or, failing that, by the exclusive jurisdiction of the Courts of London. The English version of this Agreement prevails in case of discrepancies with translated versions.
